Florida is one of the most popular states for LLC formation in the United States, with no state income tax, strong asset protection statutes, and a streamlined filing process through the Division of Corporations (Sunbiz.org). Forming a Florida LLC requires filing Articles of Organization with the state, but a properly structured business needs several additional documents to operate effectively and maintain liability protection.
Articles of Organization
The Articles of Organization is the foundational document filed with the Florida Division of Corporations through Sunbiz.org. We prepare the filing with your company name (after availability verification), registered agent designation, principal office address, management structure (member-managed or manager-managed), and effective date. Florida charges a $125 filing fee payable directly to the Division of Corporations. We prepare the documentation; you submit and pay the state directly.
Operating Agreement
Florida does not legally require an operating agreement, but operating without one leaves your LLC governed entirely by Florida's default statutes, which may not match your intentions. We prepare a customized operating agreement covering member ownership percentages, capital contributions, profit and loss distribution, management authority, voting rights, transfer restrictions, dissolution procedures, and buy-sell provisions. For single-member LLCs, we prepare a simplified agreement that still documents the separation between personal and business assets critical for liability protection.
EIN Application (IRS Form SS-4)
Your Employer Identification Number is required to open a business bank account, hire employees, and file federal tax returns. We prepare the IRS Form SS-4 application with the correct entity classification, responsible party designation, and business activity codes. For newly formed LLCs, we ensure the application reflects the correct tax treatment: default pass-through for single-member or multi-member LLCs, or S-Corp or C-Corp election if you intend to file Form 2553 or Form 8832.
