Legal strategy on entity structure or lease terms, underwriting decisions by banks or processors, and agency approvals on licenses remain with those parties. Our role is to keep the project on timeline and produce a clean consolidated packet at the end.

What the bundle covers

Most first-time business openings fail to open on the intended date. Formation documents ship late, the bank asks for paperwork the formation provider didn't include, the lease has a clause that requires a certificate of insurance nobody has quoted yet, and the merchant processor wants statements from a business account that doesn't exist yet because the bank wanted the license that hasn't been issued yet. The turnkey bundle is built to prevent exactly that deadlock.

Entity formation + operating documents

LLC or corporation formation in your chosen state (multi-state supported), Articles of Organization or Incorporation, customized operating agreement or bylaws, EIN application, and registered-agent designation. Includes S-Corp election (Form 2553) where appropriate. Everything in our base formation packet, plus the sequencing to line up with licensing and banking timelines.

Licensing & permit research

State, county, and city licenses identified for your business activity and operating address. Professional licenses (for regulated categories: food service, childcare, trades, health-adjacent), DBA filings if the operating name differs from the entity name, and sales-tax registration where required. We prepare applications and coordinate filing — agency approval remains on the agency's timeline.

Banking & merchant processing

Business bank account opening guidance: which documents each major bank expects, the account-opening sequence for new LLCs, and pre-filled forms where we can. Merchant-processing setup coordination with major acquirers — the account application, documentation requirements, and integration options for your sales channel (in-person, e-commerce, or both). We prepare documentation; bank and processor underwriting decisions are theirs.

Lease & vendor coordination

Lease review

Structured review of your commercial lease: term and renewal options, rent escalators, operating-expense passthroughs, use clauses, exclusive-use provisions, build-out and tenant-improvement allowances, assignment and subletting rights, and default-and-cure timelines. We surface the clauses that most frequently cause disputes. Legal interpretation remains with your attorney; our review is the structured walk-through so the attorney hours go to the items that matter.

Vendor-contract review

Review of the supply and service agreements needed on day one: POS and payment processor terms, software and SaaS contracts, supplier master service agreements, insurance binders (general liability, property, workers' comp where applicable), and utility and waste-service agreements. Structured flags on auto-renewal, termination fees, and liability caps.

Insurance coordination

Identification of insurance coverages required by your lease (landlord certificate requirements), your license category, and your operating model. Coordination with a broker of your choice on quotes — VitaCoreX does not sell insurance, but we keep the coverage requirements visible in the project plan so they are in place before the lease start date.

A single named point of contact for the entire 3–5 week engagement. Weekly status updates, a shared tracker you can check anytime, and email or text availability within one business day. No handoffs between four different specialists — one person owns the timeline end-to-end.

One consolidated packet

At first-day-ready, you receive a single consolidated opening packet: entity documents, EIN letter, licenses obtained or pending, bank-account information, merchant-processing credentials, lease with its exhibits, insurance certificates, and the post-opening checklist covering payroll, sales-tax filings, annual reports, and renewal dates. One document to reference for the life of the business.

Opening-date commitment

At intake, we scope to a specific intended opening date and work backwards from it. If the agency approval or lease contingencies won't support that date, we surface the dependency during scoping — before you sign an engagement — and propose either an adjusted timeline or a reduced opening scope. No late surprises.

Process

  1. Intake & opening-date alignment: 60-minute scoping session covering business concept, location, target opening date, and your existing commitments (lease signed or in negotiation, license applications already started, bank relationships). We back-plan from the opening date and identify the path-critical items.
  2. Formation phase (week 1–2): Entity formation, EIN, operating documents. Licensing applications filed where they can move in parallel. Banking preparation begins as soon as the entity is active.
  3. Licensing & banking phase (week 2–3): License applications coordinated with agency timelines, bank account opening documents prepared and submitted, merchant-processing application prepared for submission once the bank account is open. Lease and vendor contracts reviewed in parallel.
  4. Lease, vendor, insurance phase (week 3–4): Lease review findings delivered for your attorney. Vendor contracts flagged for decision. Insurance coordination with your broker to ensure certificates are issued before lease start.
  5. Consolidation & first-day-ready (week 4–5): Final opening packet assembled. Post-opening checklist (payroll setup, sales-tax filings, annual-report reminders) delivered alongside the core packet. Handoff meeting to confirm the business is operationally ready.

One project fee — complex scope quoted at intake

Published project fee covers one business opening in one state, standard entity structure, one operating location. Multi-state openings, multi-entity structures, regulated-industry licensing (cannabis, alcohol, health-adjacent), and franchisee openings are quoted at intake. State filing fees, license application fees, bank fees, and insurance premiums are paid directly to those parties and separate from our project fee.
